Terms and Conditions

1. Introduction and Acceptance

Welcome to AADriveAds. These Terms and Conditions govern your use of our website at aadriveads.tech and all services provided by AADriveAds (Pty) Ltd including our in-vehicle advertising network, our tablet application and our advertiser and driver programmes.

By accessing our website, submitting an enquiry, signing an advertiser agreement, signing a driver agreement or using any of our services you confirm that you have read, understood and agree to be bound by these Terms and Conditions in full.

If you do not agree to these Terms and Conditions please do not use our website or services.

AADriveAds reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes your acceptance of the updated terms.

2. About AADriveAds

AADriveAds (Pty) Ltd is a South African registered company operating as an in-vehicle advertising network. We install smart tablet screens in the back seats of Uber, Bolt and inDrive vehicles. We connect businesses who want to advertise with drivers who carry our screens and earn passive income.

3. Definitions

Throughout these Terms and Conditions the following definitions apply:

• AADriveAds / We / Us / Our — refers to AADriveAds (Pty) Ltd and its authorised representatives.
• Advertiser / You — refers to any individual, business or organisation that purchases advertising services from AADriveAds.
• Driver / Partner — refers to any Uber, Bolt or inDrive driver who has signed a driver agreement with AADriveAds and carries our tablet screen in their vehicle.
• Tablet / Device — refers to the Android tablet screen provided by AADriveAds and installed in a driver's vehicle.
• Campaign — refers to the period during which an advertiser's advert is active and playing on our network.
• Creative / Advert — refers to the image or video advertisement submitted by the advertiser for display on our network.
• Network — refers to the total number of AADriveAds tablets currently active across all driver vehicles.
• QR Code — refers to the unique scannable code displayed alongside each advertisement that connects passengers directly to the advertiser.
• Report — refers to the weekly or monthly document provided to advertisers showing campaign performance data.

4. Advertiser Terms

4.1 Eligibility

To advertise with AADriveAds you must be a legally registered individual or business operating within the Republic of South Africa or any other country where AADriveAds operates. You must be at least 18 years of age to enter into an advertiser agreement with us.

4.2 Campaign Agreement

All advertiser campaigns are governed by a separate Advertiser Agreement which you will be required to sign before your campaign begins. These Terms and Conditions apply in addition to your Advertiser Agreement. In the event of a conflict between these Terms and the Advertiser Agreement the Advertiser Agreement shall take precedence.

4.3 Payment Terms

All payments are required upfront before your campaign begins. We do not offer credit terms or deferred payment arrangements. Payment must be received and confirmed before your advert is loaded onto our network. We accept payment by electronic funds transfer to our registered business bank account. Payment details will be provided on your invoice.

4.4 Refund Policy

All payments are non-refundable once your campaign has gone live and your advert has been loaded onto our network. If your campaign has not yet started and you wish to cancel you may be entitled to a partial refund at our discretion. Please contact us immediately at info@aadriveads.tech if you wish to discuss a cancellation before your campaign begins.

4.5 Campaign Duration

Our minimum campaign duration is one calendar month which is 30 days from the date your advert goes live. At the end of your campaign period you may choose to renew for a further month. We do not automatically renew campaigns or charge your payment method without your explicit instruction.

4.6 Advertiser Content and Creative Standards

You are solely responsible for the content of your advertisement. By submitting your creative to AADriveAds you confirm and warrant that:

• You own or have the legal right to use all content including images, video, music, logos and trademarks contained in your advert
• Your advert does not infringe the intellectual property rights of any third party
• Your advert complies with all applicable South African laws and regulations including the Consumer Protection Act and the Advertising Regulatory Board standards
• Your advert does not contain false, misleading or deceptive content
• Your advert does not contain content that is offensive, discriminatory, violent, sexually explicit or inappropriate for a general audience
• Your advert does not promote illegal products or services
• Your advert does not contain content directed at or inappropriate for minors

AADriveAds reserves the right to reject, remove or modify any advert that we believe violates these standards at any time without notice and without refund.

4.7 Prohibited Content

The following types of content are strictly prohibited on our network:

• Adult or sexually explicit material
• Content promoting illegal substances or activities
• Content that discriminates against any person based on race, gender, religion, nationality, sexual orientation or disability
• Political campaign advertising
• Content that infringes on any third party copyright or trademark
• False or misleading health claims
• Content promoting gambling without proper licensing disclosure
• Tobacco and tobacco product advertising

4.8 Ad Performance and Reporting

AADriveAds will provide weekly reports every Monday and monthly summary reports showing your campaign performance including total ad plays and QR code scan counts. While we make every effort to maximise your campaign performance we do not guarantee specific play counts or scan numbers as these depend on variables including driver activity levels, passenger volumes and network size during your campaign period.

Reports are based on data collected automatically by our tablet application and represent our best and most accurate measurement of campaign performance.

4.9 Campaign Changes

You may update your advertisement creative at any time during your campaign by submitting a new file to us. Updated adverts will be pushed to all screens within 24 to 48 hours at no additional charge. You may update your creative as many times as you wish during your active campaign period.

4.10 Campaign Cancellation

If you wish to cancel your campaign please provide us with 7 days written notice by email to info@aadriveads.tech. As all payments are made upfront no refund will be issued for unused days remaining in your campaign period. Your advert will be removed from all screens on the agreed end date.

5. Driver Terms

5.1 Eligibility

To join the AADriveAds driver network you must meet all of the following requirements:

• Be an active and registered driver on Uber, Bolt or inDrive
• Own or have the right to use the vehicle in which the tablet will be installed
• Have a vehicle that is 2016 or newer with a clean and well-maintained interior
• Hold a valid Professional Driving Permit (PrDP)
• Have up-to-date vehicle registration documentation
• Have a valid South African bank account for payment purposes
• Be at least 18 years of age

5.2 Driver Agreement

All drivers are required to sign a Driver Agreement with AADriveAds before any tablet is installed in their vehicle. These Terms and Conditions apply in addition to your Driver Agreement. In the event of a conflict between these Terms and the Driver Agreement the Driver Agreement shall take precedence.

5.3 Tablet Ownership

The tablet device installed in your vehicle remains the sole property of AADriveAds at all times. You do not own the tablet at any point during or after your time on our network. The tablet is provided to you on loan for the exclusive purpose of displaying AADriveAds content during your driving trips.

5.4 Driver Responsibilities

As a driver partner you agree to:

• Keep the tablet screen clean, undamaged and securely mounted at all times
• Keep the tablet powered and connected to your vehicle's power supply during all trips
• Connect the tablet to your home WiFi network every night to allow automatic content updates
• Not remove, hide, cover or tamper with the tablet or its mount in any way
• Not allow any passenger to touch, remove or interfere with the tablet
• Report any technical issues, damage or theft to AADriveAds immediately
• Maintain your vehicle to the standards required by Uber, Bolt or inDrive
• Notify AADriveAds immediately if you stop driving for Uber, Bolt or inDrive

5.5 Driver Earnings

Driver earnings are calculated based on the number of active hours your tablet screen is on and operational during trips. Payments are made directly to your registered South African bank account on a monthly basis. The exact earning rate per hour will be specified in your Driver Agreement.

AADriveAds reserves the right to adjust the earning rate with 30 days written notice to you. If you do not agree to the new rate you may terminate your Driver Agreement by giving 14 days written notice.

5.6 Lost, Stolen or Damaged Tablets

The tablet is the property of AADriveAds and must be returned in good working condition at the end of your Driver Agreement.

• Accidental damage — if the tablet is damaged through normal wear and tear or a genuine accident AADriveAds will assess the situation and may cover repair costs at our discretion
• Negligent damage — if the tablet is damaged due to negligence or failure to follow your Driver Agreement obligations a repair or replacement fee will be charged to you before any new device is issued
• Lost tablet — if the tablet is lost a replacement fee will be charged before a new device is issued
• Stolen tablet — if the tablet is stolen you must report the theft to the South African Police Service (SAPS) immediately and provide AADriveAds with the official case number within 48 hours. We will assess the situation and determine whether a replacement fee applies based on the circumstances

5.7 Termination of Driver Agreement

Either party may terminate the Driver Agreement by giving 14 days written notice. Upon termination you must make the tablet available for collection by AADriveAds within the 14 day notice period. If the tablet is not made available for collection within 30 days of termination AADriveAds reserves the right to pursue recovery of the device or its full replacement value through legal means.

5.8 Suspension of Driver Account

AADriveAds reserves the right to immediately suspend your driver account and earnings without notice if:

• You tamper with or remove the tablet from your vehicle
• You are found to have deliberately damaged or hidden the tablet
• You lose your active status on Uber, Bolt or inDrive
• You breach any term of your Driver Agreement
• Your vehicle no longer meets our minimum standards

6. Intellectual Property

6.1 AADriveAds Intellectual Property

All content on the aadriveads.tech website including our logo, brand name, images, text, graphics, videos and software are the intellectual property of AADriveAds (Pty) Ltd and are protected by South African copyright law. You may not copy, reproduce, distribute or use any of our content without our prior written permission.

6.2 Advertiser Content

By submitting your advertisement creative to AADriveAds you grant us a non-exclusive, royalty-free licence to display, reproduce and distribute your content on our tablet network and in our marketing materials for the duration of your campaign. You retain full ownership of your creative at all times.

You confirm that you have all necessary rights and permissions to submit your content to us and that displaying your content on our network does not infringe the rights of any third party.

6.3 AADriveAds Campaign Data

All campaign performance data including play counts, QR scan data and reporting analytics generated by AADriveAds systems is the intellectual property of AADriveAds. We share this data with you through your weekly and monthly reports for your own business use only. You may not resell or distribute this data to any third party.

7. Limitation of Liability

7.1 No Guarantee of Results

AADriveAds does not guarantee any specific advertising results including but not limited to a minimum number of ad plays, QR code scans, leads generated, sales made or return on investment. Campaign performance depends on variables outside of our direct control including passenger volumes, driver activity levels and network size.

7.2 Service Interruptions

AADriveAds will make every reasonable effort to ensure our network operates continuously. However we cannot guarantee uninterrupted service. Tablets may go offline due to connectivity issues, technical faults, driver behaviour or other circumstances. We will credit or extend campaigns where significant downtime can be verified and attributed to our systems.

7.3 Maximum Liability

To the maximum extent permitted by South African law AADriveAds total liability to you for any claim arising from or related to our services shall not exceed the total amount you paid to us for your current campaign period. We are not liable for any indirect, consequential, special or incidental damages including loss of profits, loss of business or loss of reputation.

7.4 Force Majeure

AADriveAds is not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control including but not limited to natural disasters, power outages, civil unrest, government actions, pandemic restrictions or failure of third party services.

8. Indemnification

You agree to indemnify and hold harmless AADriveAds, its directors, employees and agents from and against any claims, damages, losses, costs and expenses including legal fees arising from:

• Your breach of these Terms and Conditions
• The content of your advertisement including any claims of copyright infringement, false advertising or consumer harm
• Your use of our website or services in a manner not permitted by these Terms
• Any negligent or unlawful act or omission on your part

9. Privacy and Data Protection

The collection and use of your personal information is governed by our Privacy Policy which is available at aadriveads.tech/privacy-policy. By using our services you agree to the terms of our Privacy Policy. Our Privacy Policy is incorporated into these Terms and Conditions by reference.

10. Dispute Resolution

10.1 Good Faith Resolution

If a dispute arises between you and AADriveAds we encourage you to contact us first at info@aadriveads.tech. We will make every effort to resolve disputes fairly and quickly through direct communication.

10.2 Mediation

If we cannot resolve a dispute through direct communication within 30 days either party may refer the matter to a mutually agreed independent mediator. The costs of mediation will be shared equally between the parties unless otherwise agreed.

10.3 Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa. Any legal proceedings arising from these Terms shall be conducted in the courts of South Africa.

11. General Provisions

11.1 Entire Agreement

These Terms and Conditions together with your Advertiser Agreement or Driver Agreement and our Privacy Policy constitute the entire agreement between you and AADriveAds regarding your use of our services.

11.2 Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable by a court of competent jurisdiction that provision shall be severed from the rest of the Terms. All remaining provisions shall continue in full force and effect.

11.3 No Waiver

Our failure to enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision. Any waiver must be given in writing and signed by an authorised representative of AADriveAds.

11.4 Assignment

You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. AADriveAds may assign its rights and obligations at any time without notice to you.

11.5 Communications

All formal communications between you and AADriveAds must be made in writing by email to info@aadriveads.tech. We will respond to all formal communications within 5 business days.
